This Services Agreement governs the supply of Pilotlab to customers purchasing under an order form. Where it conflicts with the Terms and Conditions, this Agreement prevails for those customers.
1. Structure of the agreement
1.1. The Agreement comprises this document, each order form, the Data Processing Addendum and the Acceptable Use Policy.
2. Provision of the Services
2.1. We will provide the Services described in the applicable order form in accordance with the service levels set out there.
3. Professional services
3.1. Where onboarding, migration or configuration services are purchased, they will be delivered on a time-and-materials basis unless the order form states otherwise.
4. Fees, invoicing and taxes
4.1. Invoices are payable within thirty (30) days of the invoice date.
4.2. All fees are exclusive of VAT and other applicable taxes.
5. Service levels and credits
5.1. Target monthly uptime and the associated service credits are set out in the order form.
6. Term and renewal
6.1. The initial term is stated in the order form and renews automatically for successive periods of the same length unless either party gives notice not less than sixty (60) days before the end of the then-current term.
7. Insurance
7.1. We will maintain appropriate insurance cover consistent with industry practice for a supplier of our size.
8. Order of precedence
8.1. In the event of conflict the order of precedence is: the order form, this Agreement, the Data Processing Addendum, then any policy incorporated by reference.
